Federal Signal Corporation acquires Leach Company

Federal Signal Corp has announced the completion of its acquisition of Leach Co in Oshkosh WI. Under terms of the agreement, Federal Signal issued 800,000 shares of its common stock and paid an undisclosed amount of cash in exchange for the shares of the privately held company. Leach manufactures rear-loading refuse vehicles.Separately, in a special meeting, shareholders of Wittke Inc of Calgary, Alberta, Canada, approved the plan of arrangement with Federal Signal. Under terms of the transaction, Federal Signal will pay Canadian $12.50 in a combination of cash and Federal Signal common shares for each share of Wittke’s outstanding shares. The transaction is scheduled to close Oct 3, 2002.
Wittke produces front- and side-loading refuse vehicles in Medicine Hat, Alberta.
